WEBSITE, MEMBERSHIP AND REFERRAL PROGRAMME TERMS AND CONDITIONS

Effective date: 3 August 2026

These Terms govern the use of the My Green Life website, membership accounts, product purchases, shopping credit, referrals, commissions and resale of My Green Life products.

By creating an account, placing an order or participating in the referral programme, you agree to these Terms.

1. About My Green Life

“My Green Life”, “MGL”, “we”, “us” and “our” refer to:

MGL sells locally sourced, natural and plant-based cleaning, washing and personal-care products.

2. Eligibility

You must be at least 18 years old to create an account, place an order or participate in the MGL referral programme.

By registering, you confirm that:

  • You are at least 18 years old.
  • The information you provide is accurate and complete.
  • You are creating the account for yourself.
  • You will keep your login details secure.
  • You will not allow another person to operate your account without MGL’s written permission.

MGL may request reasonable proof of identity, age, address, account ownership or other information when necessary to investigate fraud, verify eligibility or comply with applicable law.

3. Accounts

Each person may operate only one MGL account unless MGL gives prior written permission.

You may not:

  • Create an account using false or misleading information.
  • Create or control duplicate accounts.
  • Use another person’s account.
  • Use multiple accounts to obtain additional discounts, commissions or other benefits.
  • Manipulate the referral structure.
  • Interfere with the website, payment system, wallet, commission calculations or order records.

You are responsible for activity performed through your account unless you notify MGL promptly that the account has been compromised.

4. Product information

MGL takes reasonable care to ensure product descriptions, images, prices, ingredients, sizes and availability are accurate.

Product images are illustrative. Packaging, labels, colours or presentation may change without materially changing the product.

You must follow the directions, warnings and storage instructions supplied with a product. Products must only be used for their intended purpose.

If you have allergies, sensitivities or specific health concerns, you are responsible for checking the product information before use.

5. Prices

All prices are shown in South African Rand.

MGL is not currently registered for VAT. Prices will not include VAT unless and until MGL becomes VAT registered and the website is updated accordingly.

MGL may change prices at any time. A price change will not affect an order already accepted by MGL, except where:

  • The displayed price resulted from an obvious error.
  • The incorrect price resulted from fraud or system manipulation.
  • The order has not yet been accepted and MGL informs you of the error.

Delivery and courier charges are shown separately where applicable.

6. Retail and wholesale pricing

Members may purchase products for personal use or resale.

An order may automatically qualify for wholesale pricing when its qualifying product value reaches the threshold displayed on the website. The current intended threshold is R1,000, but MGL may change this threshold and its wholesale prices at any time for future orders.

Unless the website states otherwise:

  • The threshold applies to the qualifying product subtotal.
  • Delivery, courier and handling charges do not count toward the threshold.
  • Shopping credit is treated as a payment method and does not reduce the qualifying product subtotal.
  • Wholesale pricing applies only to eligible products included in that order.

MGL’s displayed retail prices are recommended retail prices. Independent resellers may determine their own resale prices.

7. Orders

An order submitted through the website is an offer to purchase the selected products.

MGL may accept or decline an order. An automated acknowledgement does not necessarily mean that the order has been finally accepted.

MGL may decline or cancel an undelivered order where:

  • A product is unavailable.
  • A price, stock, commission or calculation error occurred.
  • Payment was not received or confirmed.
  • Fraud, abuse or unauthorised account activity is suspected.
  • The order breaches these Terms.
  • Delivery cannot reasonably be completed.
  • A related account or referral requires prior written permission that was not obtained.

If MGL cancels a paid order, the customer will receive the appropriate refund or credit, subject to these Terms and applicable law.

8. Payment

Available payment methods may include EFT, PayFast, another approved payment provider, shopping credit and payment on collection where offered.

An order is not treated as paid until MGL or its payment provider confirms receipt of the required amount.

Where payment on collection is available:

  • It is available only for qualifying collection orders.
  • MGL may require payment before releasing an order.
  • MGL may withdraw this option from an account where it has been abused.

MGL may investigate duplicate, excess, unidentified or suspicious payments before processing an order or refund.

9. Internal payment ledger

MGL uses an internal wallet ledger to record payments, shopping credit, order debits, refunds, commissions, reversals and corrections.

When an external payment is confirmed, it may be recorded as a credit and immediately applied as a debit against the relevant order. This is an internal accounting mechanism and does not create a customer deposit account.

Members cannot:

  • Deposit funds merely to hold them with MGL.
  • Transfer balances between accounts.
  • Withdraw wallet balances if they are individuals. Approved registered companies may apply for a payout under the company-payout rules in section 13.
  • Sell or assign wallet balances.

Duplicate or excess external payments may be investigated and refunded through an appropriate payment channel.

10. Delivery and collection

Available fulfilment methods may include:

  • Collection from an approved MGL location.
  • Local delivery.
  • Third-party courier delivery.

Delivery dates and times are estimates unless MGL expressly confirms otherwise.

You must provide complete and accurate delivery information. MGL is not responsible for delays or additional charges caused by incorrect information, restricted access or an unavailable recipient.

Risk in the products passes to you when the order is delivered or collected.

For courier deliveries, delivery status may be determined using the courier’s tracking and delivery records.

For collections, delivery is completed when the order is handed to the customer or authorised collector and recorded as collected.

11. Cancellation

You may request cancellation before an order has entered a stage where cancellation is no longer reasonably possible.

An order cannot ordinarily be cancelled after it has been delivered or collected. After that point, any remedy must be handled under MGL’s returns and refunds rules and applicable consumer law.

MGL may cancel an undelivered order where permitted by these Terms.

Cancellation of a qualifying order prevents any associated pending commission from becoming available.

12. Returns, defective products and refunds

If a product is defective, damaged, incorrectly supplied or otherwise eligible for return, contact MGL promptly with:

  • The order number.
  • A description of the problem.
  • Relevant photographs where reasonably required.
  • Any other information reasonably needed to investigate the claim.

MGL may inspect a returned product before approving a remedy.

Depending on the circumstances and applicable law, MGL may offer repair, replacement, refund or another appropriate remedy.

A refund will generally preserve the original funding source. For example:

  • Amounts paid externally may be refunded through the appropriate external payment method.
  • Shopping credit used for the order may be restored as shopping credit.
  • Shopping credit will not be converted into cash merely because it was used toward a refunded order.

A return or refund does not automatically reverse related commission. MGL may withhold or reverse commission depending on the circumstances, including fraud, abuse, member involvement, system error and the reason for the return.

13. Shopping credit

Approved commission is issued as MGL shopping credit.

Shopping credit:

  • Is displayed in South African Rand.
  • Is not cash.
  • Cannot be withdrawn or exchanged for cash by an individual member.
  • Cannot be transferred, sold, assigned, gifted or combined with another account.
  • May only be used by the member who earned it.
  • May be used toward products and delivery, courier or related order charges.
  • Does not currently expire.
  • Remains subject to valid corrections and reversals under these Terms.

Shopping credit is automatically applied to eligible purchases where the website provides for this.

MGL may keep different ledger classifications for commissions, refunds, payments, bottle-return benefits and administrative corrections even where the website shows an aggregated balance.

Company commission payouts

MGL does not make commission payouts to individuals. A member that is a registered company may apply to receive a cash payout of commission that MGL determines is eligible for payout.

Before requesting or receiving a payout, the company must submit the company, tax, authorised-representative, banking and supporting information required by MGL, complete the applicable declarations, and pass MGL’s verification and approval process. The nominated bank account must belong to the approved company.

Submission or approval of company information does not guarantee that a balance is eligible or that a payout request will be approved. MGL determines the eligible commission amount and may withhold, reject, reduce or reverse a request for pending commission, insufficient eligible commission, an invalid order or referral, error, fraud, abuse, legal or tax concerns, incomplete verification or another reason permitted by these Terms or applicable law.

Company payouts are processed manually through an approved payment channel. Customer payments, refunds, overpayments, bottle-return benefits, promotional credits and other non-commission ledger entries are not eligible for payout merely because they appear in a wallet or aggregated balance.

14. Referral programme

A member may introduce new customers or members to MGL and may qualify for commission arising from eligible purchases.

Participation in the programme does not guarantee any income, commission, sales or other financial benefit.

A referral qualifies only where:

  • The referred customer or member is genuine.
  • The referral was properly recorded by MGL.
  • The accounts comply with these Terms.
  • The underlying order qualifies for commission.
  • The relevant members are commission-eligible.
  • The commission is reviewed and approved by MGL.

MGL’s records determine the recorded introducer and referral chain, subject to correction of demonstrated errors.

15. When commission becomes available

Commission is not earned or available merely because an order was placed or paid.

Commission becomes available as shopping credit only after:

1. The qualifying order has been delivered or collected.

2. MGL has checked the order, prices, costs, referral chain and eligibility.

3. An authorised administrator has approved the commission.

Before approval, the commission remains pending and may be withheld, corrected or cancelled.

16. Commission rates and qualification

The current intended programme includes the following commission tiers:

  • Base rate: 15%.
  • 25% where the member’s own qualifying spend exceeds R500 during the applicable six-month period.
  • 35% where qualifying direct-team turnover exceeds R10,000.
  • 45% where qualifying network turnover exceeds R30,000.

The applicable rate is subject to:

  • The rules and thresholds displayed by MGL when the qualifying order is placed.
  • Member and referral eligibility.
  • MGL’s protected minimum margin.
  • Product-specific pricing and factory costs.
  • Administrative review and approval.

A displayed rate does not guarantee that the full percentage will be payable if the available product margin cannot support it.

17. Team and network

For programme qualification:

  • A member’s Team consists of people directly introduced by that member at level 1.
  • A member’s Network consists only of eligible indirect referrals at level 2: the people directly introduced by that member’s Team.
  • Team and Network turnover are mutually exclusive.
  • Level 3 and deeper referrals do not currently count toward Network turnover qualification, although an eligible upline may participate in pass-up distribution where the applicable rules permit it.

Example:

  • A introduces B.
  • B introduces C.
  • C introduces D.

For A:

  • Team: B.
  • Network: C.
  • D is at level 3 and does not count toward A’s Network turnover qualification.

MGL may define or change qualifying depth and turnover rules for future orders.

18. Commissionable value and margin protection

Delivery, courier and handling charges do not earn commission.

Commission is calculated from qualifying products using:

  • The product’s recorded factory price.
  • The actual product selling price.
  • MGL’s minimum protected margin.

For each qualifying product:

  • Gross profit equals the actual selling price minus the factory price.
  • MGL retains at least 30% of the actual product selling price.
  • Only the remaining profit above that protected amount is available for commission.
  • If no profit remains above the protected margin, no commission is payable for that product.

Example:

  • Factory price: R60.
  • Selling price: R100.
  • Gross profit: R40.
  • MGL’s protected amount: R30.
  • Maximum available commission pool: R10.

MGL may retain historical cost, price and calculation information so that later price changes do not alter completed calculations.

19. Pass-up distribution

The available commission pool is distributed through the eligible referral chain.

At each level:

  • Ten percent of the current level’s entitlement is allocated to the next eligible level.
  • The current member receives the balance.
  • The calculation continues while the next level’s entitlement is at least R1.
  • If the next calculated entitlement is less than R1, no further pass-up occurs.
  • Pass-up amounts are taken from the existing commission pool and are not additional payments by MGL.

Example using a R100 pool:

  • Member 1 receives R90.
  • Member 2 receives R9.
  • Member 3 receives R1.
  • The next calculated amount would be R0.10, so the calculation stops.

All calculations are subject to the applicable rounding rules and the total commission distributed cannot exceed the available commission pool.

20. Commission-ineligible accounts

MGL may classify an account as ineligible to earn commission.

This may apply to:

  • MGL company accounts.
  • Staff accounts.
  • Accounts used for testing or administration.
  • Duplicate or controlled accounts.
  • Accounts involved in unauthorised related-party referrals.
  • Suspended or terminated accounts.
  • Accounts involved in fraud, abuse or manipulation.
  • Any account that does not satisfy the programme requirements.

Where an ineligible account occurs in the referral chain:

  • That account does not earn the commission allocated to it.
  • The commission stops at that point.
  • It does not skip or pass through to another person higher in the chain.

MGL may restore eligibility where appropriate. Commission previously forfeited will not automatically be reinstated unless it was removed because of an MGL error.

21. Self-referrals and related accounts

You may not refer yourself or another account that you own, manage or control.

Prior written permission from MGL is required for referrals involving:

  • Family members.
  • Household members.
  • People sharing an address.
  • Business partners or closely associated persons.
  • Staff members or contractors.
  • Accounts owned, managed or controlled by related persons.

Sharing an address or family relationship will not necessarily establish wrongdoing, but the referral will not qualify without MGL’s prior written permission.

Without permission, MGL may:

  • Withhold or reverse commission.
  • Cancel pending commission.
  • Mark an account commission-ineligible.
  • Suspend or investigate an account.
  • Cancel related undelivered orders where appropriate.

22. Errors, reversals and corrections

MGL may immediately correct or reverse commission or shopping credit that:

  • Was calculated or credited in error.
  • Relates to an invalid or cancelled order.
  • Was obtained through fraud, collusion, manipulation or abuse.
  • Relates to an unauthorised related-account referral.
  • Was caused by incorrect pricing, cost, eligibility or referral data.
  • Should reasonably not have been awarded under these Terms.

If available shopping credit is insufficient to process a valid reversal:

  • The shopping-credit balance may become negative.
  • Future shopping credit may first be applied to the negative balance.
  • MGL may require the outstanding reversal to be settled before processing or completing a later order.
  • Any amount added to a later payment must be disclosed separately at checkout.

MGL may cancel connected orders that have not yet been delivered where they result from fraud, abuse or a material error.

MGL may also correct its own mistakes. If MGL mistakenly cancels, suspends or disqualifies an account or reverses a valid commission, MGL may restore:

  • The account.
  • Commission eligibility.
  • The affected referral relationship.
  • Qualifying commission or shopping credit.
  • Related order status where operationally possible.

Corrections and restorations may be recorded through adjustment entries without deleting the original transaction history.

23. Fraud and abuse

MGL may investigate activity that reasonably appears fraudulent, abusive or inconsistent with the purpose of the programme.

During an investigation, MGL may temporarily:

  • Restrict the account.
  • Withhold pending commission.
  • Prevent use of shopping credit.
  • Request supporting information.
  • Place related orders on hold.
  • Suspend commission eligibility.

Where fraud or abuse is established, MGL may:

  • Reverse improperly obtained benefits.
  • Cancel undelivered orders.
  • Terminate the account.
  • Mark associated accounts commission-ineligible.
  • Recover losses from responsible persons.
  • Report unlawful conduct to payment providers, service providers or authorities.

MGL will not automatically treat matching contact, address or payment information as conclusive proof of fraud, but may use it as a reason for review.

24. Changes to the programme

MGL may change, suspend or discontinue the referral and commission programme, including its:

  • Rates.
  • Thresholds.
  • Qualifying periods.
  • Referral depth.
  • Margin requirements.
  • Wholesale thresholds.
  • Eligibility rules.
  • Shopping-credit rules.
  • Calculation methods.

Changes may take effect immediately for future qualifying orders.

A change will not retrospectively reduce shopping credit already validly earned and approved, except where the credit:

  • Was awarded in error.
  • Arose from fraud or abuse.
  • Is reversed under the returns, refund or commission rules.

The rules recorded for an order when it qualifies may be retained as part of MGL’s transaction history.

25. Member marketing

Members may promote MGL products through their own websites, social-media accounts and approved online marketplaces.

Members must:

  • Use accurate product information.
  • Use only marketing material approved by MGL.
  • Comply with applicable platform rules.
  • Make it clear when they are acting as independent resellers.
  • Avoid misleading consumers about their relationship with MGL.

Members may not:

  • Guarantee or advertise expected earnings.
  • Make misleading income or commission claims.
  • Create or publish unapproved medical, environmental, performance or product claims.
  • Alter MGL branding, logos, labels or approved marketing material without written permission.
  • Present themselves as an employee, authorised agent or legal representative of MGL.
  • Bind MGL to any agreement or promise.
  • Make representations that contradict MGL’s approved product information.

MGL may require the removal or correction of material that breaches these rules.

26. Independent resale

Members purchasing for resale act independently and at their own risk.

Unless MGL agrees otherwise in writing:

  • No employment, agency, partnership, franchise or joint venture is created.
  • A reseller is responsible for their own business expenses.
  • A reseller is responsible for complying with applicable tax, consumer and marketplace obligations.
  • A reseller may determine their own resale price.
  • A reseller may not repackage, relabel, dilute, modify or tamper with MGL products.
  • A reseller may not remove safety, ingredient, batch or product information.
  • A reseller may not make commitments on MGL’s behalf.

27. No employment or guaranteed income

Participation in the referral programme does not create an employment relationship between MGL and a member.

Members:

  • Are not employees of MGL.
  • Do not receive a salary or guaranteed payment.
  • Are not required to recruit other members.
  • Are not guaranteed sales, commission or profit.
  • Have no authority to act on behalf of MGL.

Benefits arise only from qualifying product transactions under these Terms.

28. Bottle returns and refill benefits

Where MGL offers refills, bottle returns, tokens, discounts or other circular-economy benefits, the specific rules displayed for that programme apply.

Bottle-return tokens or benefits:

  • Are separate from commission shopping credit.
  • Are not cash unless MGL expressly states otherwise.
  • May be subject to bottle condition, type, size and hygiene requirements.
  • May require replacement of caps or other components.
  • May be changed for future returns.

29. Intellectual property

All MGL names, logos, labels, photographs, designs, product descriptions, website content and approved marketing material remain the property of MGL or its licensors.

Members receive a limited, revocable permission to use approved MGL marketing material solely to promote or resell genuine MGL products in accordance with these Terms.

No intellectual-property rights are transferred to a member.

30. Reviews and user content

If you submit a review, photograph, comment or other content, you confirm that:

  • It is truthful.
  • It does not infringe another person’s rights.
  • It is not unlawful, abusive or misleading.
  • You have permission to submit it.

You give MGL permission to use, reproduce and display that content for its business and marketing purposes, with reasonable editing for length or formatting.

MGL may remove content that breaches these Terms.

31. Personal information

MGL processes personal information to:

  • Register and administer accounts.
  • Process payments and orders.
  • Deliver products.
  • Operate the referral and commission programme.
  • Prevent fraud and abuse.
  • Provide customer support.
  • Communicate about purchases and account activity.
  • Meet legal and record-keeping obligations.

MGL may share necessary information with payment providers, couriers, hosting providers and other service providers involved in fulfilling these purposes.

32. Electronic communications

You agree that MGL may send operational communications relating to:

  • Account registration and security.
  • Orders and payments.
  • Delivery and collection.
  • Returns and refunds.
  • Shopping credit and commission.
  • Changes affecting your account or the programme.

Marketing communications will be handled according to your communication preferences and applicable law.

33. Account suspension and termination

You may request closure of your account, subject to completion of outstanding orders, refunds, investigations and record-retention requirements.

MGL may suspend, restrict or terminate an account where:

  • These Terms have been breached.
  • Fraud or abuse is suspected.
  • False information was supplied.
  • The account creates security or legal risk.
  • Required verification is not completed.
  • The account has been used to manipulate orders, referrals, prices or commission.
  • Continued operation is no longer reasonably possible.

During suspension, shopping credit and pending commission may be temporarily unavailable.

Termination does not remove obligations, reversals or liabilities that arose before termination.

Valid shopping credit will be treated according to the circumstances of termination and applicable law. Fraudulently or incorrectly obtained credit may be forfeited or reversed.

34. Availability of the website

MGL does not guarantee that the website will always be uninterrupted or error-free.

MGL may suspend access for maintenance, security, updates or circumstances beyond its reasonable control.

If a technical error affects an order, payment, price, referral, commission or balance, MGL may investigate and correct the affected records.

35. Limitation of responsibility

Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded.

Subject to applicable law, MGL is not responsible for:

  • Loss caused by incorrect information supplied by the customer.
  • Indirect or consequential business losses.
  • A reseller’s independent representations or conduct.
  • Third-party platform, payment or courier failures outside MGL’s reasonable control.
  • Loss arising from unauthorised account access where the member failed to protect their login details or notify MGL.

36. Complaints and disputes

Please include your name, contact details, order number or account details, and a clear description of the issue.

MGL will investigate and attempt to resolve the complaint within a reasonable period.

37. Changes to these Terms

MGL may amend these Terms where reasonably required by changes to the business, website, programme or applicable law.

Material changes will be published on the website or communicated through an appropriate channel.

Changes normally apply from their stated effective date. Transaction-specific rules already applicable to an accepted order will continue to govern that order unless a change is required by law or corrects fraud or an error.

Continued use of the website after the effective date constitutes acceptance of the updated Terms.

38. General provisions

If any provision of these Terms is invalid or unenforceable, the remaining provisions continue to apply.

A failure or delay by MGL in enforcing a right does not waive that right.

MGL may transfer its rights and obligations as part of a lawful sale, restructuring or transfer of the business.

A member may not transfer their account, shopping credit or rights under these Terms without MGL’s written permission.

These Terms, together with the applicable Privacy Policy, Returns Policy and Delivery Policy, form the agreement between MGL and the user concerning the website and programme.

39. Governing law

These Terms are governed by the laws of the Republic of South Africa.

Any dispute will be dealt with by a court or other forum having jurisdiction under South African law, without limiting a consumer’s right to approach an appropriate consumer-protection body or other competent authority.

40. Acceptance

By creating an account, placing an order or participating in the referral programme, you confirm that:

  • You have read and understood these Terms.
  • You are at least 18 years old.
  • You agree to comply with the account and referral rules.
  • You understand that commission becomes non-cash MGL shopping credit.
  • If you are an individual, you understand that shopping credit cannot be withdrawn or transferred.
  • If the member is a registered company, you understand that only commission MGL determines is eligible may be considered for payout after company verification and approval.
  • You understand that commission is subject to delivery, eligibility, margin protection, review and administrative approval.
